Standard Terms of Service

Introduction
Tactic Consulting Services LLC ("Tactic", "we", "us", or "our") provides consulting services to clients (each, a "Client") seeking expertise in areas related to revenue operations and HubSpot software. These Terms of Service ("Terms") govern the use of Tactic's services, as well as any associated materials, resources, and documentation (collectively, the "Services"). By using the Services, you agree to be bound by these Terms.
Services
Tactic will provide the Services described in the corresponding agreement between Tactic and the Client (the "Agreement"). Tactic will use reasonable efforts to perform the Services in a professional and timely manner.
Work Sessions
Tactic conducts Work Sessions with the client to provide consulting services. Work Sessions are only provided remotely and are recorded for the purpose of quality, training, and for the Client's internal use. Client may not publish publicly any of the provided Work Session recordings. The client is responsible for providing Tactic with any materials or information required for the work session. In the event that the client needs to cancel a Work Session, the client must provide Tactic with a minimum of 24 hours' notice. If the client cancels with less than 24 hours notice, Tactic reserves the right to charge the full session fee. The client may reschedule a Work Session at any time, subject to availability, for up to 60 days from the original session date.
Technical Consulting
Tactic offers technical consulting to clients to address various technical challenges, including custom development and coding tasks. Unlike Work Sessions, Technical Consulting focuses on providing practical solutions, insights, and recommendations and performing technical tasks.
Rates

Base Hourly Rate: $425 per hour

Retainer Rate: $400 per hour
Billing
Time for Technical Consulting is billed in 15-minute increments.
Reporting & Communication
Tactic will provide the Client with weekly timesheets and progress reports. Clients can access a dedicated portal to view these and schedule meetings with their consultants.
Retainer Policy
Retainer agreements are for a standard term of three months and automatically renew every three months. Clients must use retainer hours within the specified period as outlined in the Agreement. Unused hours do not roll over to the next period unless otherwise agreed upon in writing. Clients can cancel their contract by providing 60 days notice before the end of a three-month term.
Rate Increase
Tactic reserves the right to increase the hourly rates for Technical Consulting services every January based on the Consumer Price Index (CPI) as indicated by the U.S. Bureau of Labor Statistics (https://www.bls.gov/cpi/). Clients will be notified of any rate increases at least 90 days before the rate changes affect their contract.
Office Hours
Tactic's office hours are Monday through Friday, 9:00am to 5:00pm Eastern Time, excluding federal holidays in the United States. During these hours, Tactic will be available to respond to the Client's inquiries and provide support related to the Services. Outside of office hours, Tactic may respond to inquiries at its discretion. The Client may expect to receive a response within one business day during office hours. However, Tactic does not guarantee a response time, and shall not be liable for any delay in responding to the Client's inquiries.
Software
Tactic may use third-party software applications, including but not limited to, HubSpot, Basecamp, Miro, Slack, and Microsoft Office, to provide the Services. The Client acknowledges that the use of such software is subject to the terms and conditions of the respective third-party providers, and agrees to comply with such terms and conditions to the extent applicable. Tactic will use reasonable efforts to ensure that the use of such software does not interfere with the Client's use of the Services. However, Tactic does not guarantee that the software will be error-free or that its use will be uninterrupted.
Fees
Tactic Consulting Services LLC will charge the Client for the Services based on the pricing set forth on the quote or the plan the Client selected. Client agrees to pay the fees for the Services through HubSpot Payments on a one-time, monthly, or quarterly basis, as determined by the pricing plan or quote. The fees for the Services are non-refundable. If the Client chooses to cancel the Services, they will not be entitled to a refund of any fees paid. The Client must add a payment method to their account in order for the Services to commence. Fees will be automatically charged to the payment method on file.
Termination
Either party may terminate this agreement at any time with written notice to the other party. Client must provide a minimum of 60 days prior written notice of cancellation of services to Tactic Consulting Services LLC. Tactic Consulting Services LLC reserves the right to immediately suspend or terminate any services provided without notice in the event of any breach of this Agreement. Upon termination, any outstanding fees owed by the Client to Tactic Consulting Services LLC will become immediately due and payable. Any termination of this Agreement shall not relieve either party of any obligations accrued prior to the termination date.
Confidentiality
Tactic will maintain the confidentiality of all confidential information provided by the Client, and will not disclose such information to any third party without the Client's consent, except as required by law or legal process.
Intellectual Property, Ownership & Usage of Custom Code
For the purposes of this agreement, "Custom Code" refers to unique software, scripts, or programmatic solutions specifically developed by Tactic Consulting Services LLC for the Client.
Ownership: Unless explicitly agreed upon in writing, all Custom Code created by Tactic Consulting Services LLC remains the exclusive intellectual property of Tactic. Tactic retains all rights, title, and interest in and to the Custom Code, including all copyrights, patents, trade secrets, and other intellectual property rights.
License During Engagement: For Custom Code created within standard fees, Tactic grants the Client a non-exclusive, non-transferable, revocable license to use the Custom Code solely for Client's internal business operations during the term of active engagement with Tactic's services. This license is valid only while the Client maintains an active service agreement with Tactic.
Post-Termination Licensing: Upon termination of services, the Client's license to use any Custom Code automatically expires. To continue using the Custom Code after termination, the Client must obtain a separate license from Tactic through one of the following options:
- Perpetual License: A one-time payment for unlimited use of the Custom Code for Client's internal business operations only
- Subscription License: Monthly payments that include ongoing support and maintenance of the Custom Code
The specific terms and fees for post-termination licensing shall be negotiated separately and documented in writing.
Restrictions: The Client shall not:
- Sell, resell, sublicense, or distribute the Custom Code to any third party
- Offer competitive HubSpot consulting services using the Custom Code
- Modify, reverse engineer, or create derivative works of the Custom Code without Tactic's prior written consent
- Transfer or assign their license rights to any other party
Custom Ownership Agreements: Should the Client require full ownership of specific Custom Code, such arrangements must be agreed upon in writing before the commencement of development, with additional fees clearly specified. Failure of Tactic to specify such arrangements prior to development does not transfer ownership rights to the Client.
Limitation of Liability
Tactic shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits or revenue, arising out of or related to this agreement or the provision of the Services. The Client agrees that Tactic's liability for any claim arising out of or related to this agreement or the provision of the Services shall be limited to the total amount paid by the Client for the Services during the three (3) months preceding the date the claim arises.
Modifications
Tactic reserves the right to update, modify or amend these Terms of Service at any time, without prior notice. The Client will be notified of any such changes via email. The Client’s continued use of Tactic Consulting Services LLC Services after any modification to the Terms of Service constitutes acceptance of such modification.
Credit
Tactic Consulting Services is allowed to use the client’s name and logo in its business portfolio and on its website to promote its services, unless otherwise agreed upon. The client grants Tactic Consulting Services a non-exclusive, worldwide, royalty-free license to use its name and logo for this purpose. The client warrants that it owns or has the right to use and authorize the use of its name and logo, and that their use by Tactic Consulting Services does not infringe any third-party rights. If the client wants to revoke this license, it must provide Tactic Consulting Services with written notice and a reasonable period to remove its name and logo from its materials.
Governing Law
This Terms of Service shall be governed by and construed in accordance with the laws of the State of New York without regard to its conflict of law provisions. Any dispute arising out of or in connection with this Terms of Service, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in New York, New York, by a single arbitrator appointed in accordance with the said rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The parties agree that any arbitration shall be conducted confidentially and that the existence of the proceeding and any element of it (including any pleadings, briefs or other documents submitted or exchanged and any testimony or other oral submissions and awards) will not be disclosed beyond the arbitration proceedings, except as may be required by applicable law.
Miscellaneous
These Terms constitute the entire agreement between Tactic and the Client with respect to the Services, and supersede all prior or contemporaneous agreements or understandings, whether written or oral.
